Terms of Service

These Terms of Service ("Terms") govern your access to and use of FixAudio.io ("Service"), operated by FixAudio.io ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Service.

1. Service Description

FixAudio.io is an audio processing service that allows users to upload audio and video files for automated mastering. The Service applies audio enhancement processing and returns processed files to users.

1.1 Processing Model

The Service operates on a Preview/Production model:

  • Preview Mode: Free for all users. Outputs are watermarked and available for streaming only. Preview files are retained for approximately 15 minutes.
  • Production Mode: Requires credits. Outputs are clean (no watermark) and downloadable. Production files are retained for approximately 24 hours.

1.2 File Retention

The Service is NOT a file storage service. All uploaded and processed files are automatically deleted according to the following schedule:

  • Preview outputs: ~15 minutes after processing
  • Production outputs: ~24 hours after processing
  • Original uploads: ~24 hours after upload

You are solely responsible for downloading your processed files before they expire. We are not liable for any loss resulting from expired files.

2. Account Requirements

2.1 Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that:

  • You are at least 16 years old
  • You have the legal capacity to enter into these Terms
  • All information you provide is accurate and complete

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

2.3 Geographic Availability

The Service may not be available in all countries. You may not use the Service if you are located in, or a resident of, any country subject to international sanctions or where use of the Service would be prohibited by local law. We reserve the right to restrict access from specific regions at our discretion.

3. Intellectual Property and Content Rights

3.1 Your Content

You retain all ownership rights to the audio and video content you upload to the Service ("Your Content"). We do not claim any ownership rights to Your Content.

3.2 Your Representations

By uploading content to the Service, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions to the content
  • Your use of the Service does not infringe any third party's intellectual property rights, privacy rights, or other legal rights
  • Your content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable

3.3 License Grant

By uploading content, you grant us a limited, non-exclusive, royalty-free license to process, transform, and temporarily store Your Content solely for the purpose of providing the Service. This license terminates when Your Content is deleted from our systems.

3.4 Mere Conduit

We operate as a technical processing service ("mere conduit"). We do not:

  • Exercise editorial control over Your Content
  • Review, approve, or endorse Your Content
  • Retain Your Content beyond the processing period

We are not a publisher and bear no responsibility for the content you upload.

3.5 Indemnification

You agree to indemnify, defend, and hold harmless FixAudio.io and its operators from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your Content or your use of the Service
  • Your violation of these Terms
  • Your violation of any third party's rights, including intellectual property rights
  • Any claim that Your Content caused damage to a third party

4. Credits and Payments

4.1 Credit System

Production mode processing requires credits. Credits are calculated based on the duration of your audio:

  • 1 credit = 1 second of audio
  • Minimum 10 credits per file

4.2 Subscription Credits

Monthly subscription credits:

  • Roll over month-to-month, capped at 3x your monthly allocation
  • Are reduced to the new cap if you downgrade your subscription
  • Expire if your subscription is cancelled

4.3 Purchased Credits (Credit Packs)

One-time purchased credits:

  • Expire 2 years from the date of purchase
  • Are never reduced or lost due to subscription changes
  • Are consumed after subscription credits (oldest first)

4.4 Lifetime Subscriptions

Lifetime subscriptions provide the specified tier's monthly credit allocation for the lifetime of the Service. "Lifetime" means the period during which FixAudio.io continues to operate the Service. If the Service is permanently discontinued, lifetime subscribers are not entitled to refunds for unused future periods.

5. Refund Policy

5.1 Subscriptions

You may cancel your subscription at any time. Upon cancellation:

  • You retain access to paid features until the end of your current billing period
  • No partial refunds are provided for unused time within a billing period
  • Unused subscription credits at cancellation are forfeited

5.2 Credit Packs

Purchased credit packs:

  • May be refunded within 7 days of purchase if credits are completely unused
  • Are non-refundable once any credits from the pack have been used

5.3 Lifetime Subscriptions

Lifetime subscriptions:

  • May be refunded within 14 days of purchase upon request
  • After 14 days, refunds are considered on a case-by-case basis at our sole discretion

5.4 Refund Process

To request a refund, contact us at [email protected] with your account email and reason for the request. Approved refunds are processed to the original payment method within 5-10 business days.

6. Prohibited Conduct

You agree not to:

  • Upload content you do not have rights to process
  • Use the Service to process content containing malware or viruses
  • Attempt to circumvent, disable, or interfere with security features
  • Use the Service for any illegal purpose
  • Resell or redistribute access to the Service without authorization
  • Attempt to reverse engineer, decompile, or extract source code
  • Use automated systems to access the Service in a manner that exceeds reasonable use
  • Interfere with or disrupt the integrity or performance of the Service

7. Account Termination

7.1 Termination by You

You may delete your account at any time through your account settings or by contacting [email protected].

7.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • We are required to do so by law
  • We reasonably believe your account poses a security risk
  • Your account has been inactive for more than 24 months

7.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Your personal data will be deleted in accordance with our Privacy Policy
  • Unused credits are forfeited and non-refundable
  • Provisions that by their nature should survive (including indemnification, limitation of liability, and dispute resolution) will remain in effect

8. DMCA and Takedown Requests

8.1 Copyright Complaints

If you believe that content processed through our Service infringes your copyright, please contact us at [email protected] with:

  • Identification of the copyrighted work
  • Description of the infringing activity
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate

8.2 Response

Due to our short file retention period (~24 hours), infringing content is typically already deleted by the time we receive a complaint. If the content still exists, we will remove it promptly upon receipt of a valid takedown request.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be available at all times
  • The results of processing will be satisfactory or accurate
  • Any errors will be corrected

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Service
  • Damages arising from unauthorized access to your account
  • Damages arising from files that expired before download

10.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid to us in the 12 months preceding the claim, OR
  • €100 (one hundred euros)

10.3 Essential Purpose

The limitations in this section apply even if any remedy fails of its essential purpose.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the Member State in which we operate.

11.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be submitted to the competent courts within the European Union.

11.3 Consumer Rights

If you are a consumer in the European Union, you retain any mandatory consumer protection rights granted under the laws of your country of residence. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

11.4 Informal Resolution

Before initiating formal legal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

12. General Provisions

12.1 Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such notice constitutes acceptance of the modified Terms.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FixAudio.io regarding the Service.

12.3 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

12.4 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
